End-User License Agreement

This End-User License Agreement (the "Agreement") is between you ("you" or "Customer") and Agate CPA ("we", "us", or "LedgerWatch"). By creating an account, connecting a QuickBooks Online company, or otherwise using LedgerWatch (the "Service"), you agree to this Agreement. If you do not agree, do not use the Service.
1. License grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, including bookkeeping and accounting work performed for your own clients. All rights not expressly granted are reserved.
2. Accounts and authorization
- You must provide accurate registration information and keep your credentials secure.
- You are responsible for all activity under your account, including connections you authorize to QuickBooks Online companies.
- You represent that you have the authority — from each company owner or an appropriate engagement agreement — to connect that company's QuickBooks data to the Service.
3. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to derive the source code of the Service.
- Resell, sublicense, or provide the Service to third parties as a standalone product.
- Use the Service to store or transmit unlawful content, malware, or data you are not authorized to access.
- Interfere with or place unreasonable load on the Service or its infrastructure.
4. Customer data and QuickBooks Online
The Service reads accounting data from QuickBooks Online through Intuit's authorized APIs after you grant access. We use that data only to provide the Service to you: identifying uncategorized transactions, transactions missing a vendor, potentially stale bank feeds, high transaction volume, and suggested categorization rules. We do not sell customer data. You may disconnect any company at any time from the Connections page, which revokes our access and removes that company's cached data from the Service.
You retain all rights to your data. Intuit and QuickBooks are trademarks of Intuit Inc.; LedgerWatch is not affiliated with, endorsed by, or sponsored by Intuit Inc.
5. Availability and changes
We may modify, suspend, or discontinue features of the Service at any time. The Service depends on third-party platforms, including Intuit's APIs, whose availability we do not control.
6. Fees
If the Service is offered on a paid basis, applicable fees and billing terms will be presented to you before purchase. Fees are non-refundable except where required by law.
7. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Service is a workflow and triage tool. It does not provide accounting, tax, audit, or legal advice, and you remain responsible for the accuracy of your books and filings.
8. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total aggregate liability arising out of or related to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim, or USD $100 if no fees were paid.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach this Agreement or if required to protect the Service or other users. Upon termination, your right to use the Service ends and cached data associated with your account is deleted.
10. Changes to this Agreement
We may update this Agreement. Material changes will be reflected by updating the date at the top of this page. Continued use of the Service after an update constitutes acceptance.
